ITEM 5.02.  Departure of Directors or Principal Officers; Election of Directors;
            Appointment of Principal Officers

On October 2, 2006, the Company's Board of Directors accepted Mr. George R.
Dunbar's proposal to the Company that he would not stand for re-election to the
Company's Board of Directors at the next annual meeting to be held in April
2007. Mr. Dunbar will retire from the board after serving for thirty years.
